Terms of Service

Residential Terms of Service & Agreement

This residential terms of service and agreement is made and entered into by and between LitFiber, LLC, a Kentucky Limited Liability Company, with its principal office located at 1225 Carroll Gentry Road, Madisonville, Kentucky 42431, hereinafter referred to as “Provider” and the name that shall be entered into the form below, will hereinafter be referred to as “Customer”.

WHEREAS, Customer desires to purchase monthly internet services from Provider, and the parties have entered into this terms of service and agreement to fully and completely set forth the rights, obligations, and agreement between the parties.

Services Provided

Provider agrees to provide Customer internet service at the residential address listed above. Provider agrees to install equipment both inside and outside the residence to enable Customer to have internet access. All equipment, conduit, cables, and other personal property used by Provider to install and support Customer’s internet connection shall remain the property of provider, and upon termination of this agreement and / or service, said personal property and equipment shall be returned to provider within thirty (30) days of service termination.

Customer agrees that Provider may take photographs of the equipment installed by or on behalf of Provider on the exterior or interior of your residence for quality control purposes. Customer also agrees that Provider my use, and that Customer has the necessary permission to approve Provider’s use of, existing facilities, including existing wiring in and around Customer’s residence, to complete the installation service.

If Customer rents or otherwise does not own Customer’s residence, Customer represents and warrants that Customer is authorized by the property owner to order Provider’s installation, and Customer acknowledges that Customer may be asked to provide written evidence that Customer has received all permissions necessary to authorize the performance of installation, maintenance, and repair services. If Provider incurs any costs or losses, including attorney’s fees, because Customer did not get the necessary permission(s) to authorize installation, maintenance, or repair of the equipment required for the services, Customer is responsible for reimbursing Provider for those costs or losses.

Terms

This agreement automatically renews each and every month. Should either party desire to terminate this agreement, thirty (30) days written notice of termination must be provided prior to service disconnection and/or agreement termination.

While this agreement is in full force and effect, Customer shall pay to Provider a monthly fee for service based upon the service package selected below. Customer shall provide Provider with a credit card for processing of payment of the monthly service charge, and customer specifically authorizes provider to re-bill the credit card each and every month for regular monthly service, and any other related fees and charges, until this agreement and/or service hereunder is terminated. Specifically, Customer selects the following package:

Gold Package (8 gigs per second): $150 per month

Black Package (5 gigs per second): $125 per month

Silver Package (2 gigs per second): $100 per month

Blue Package (1 gigs per second): $70 per month

White Package (500 mbs per second): $50 per month

Should a payment not be made within fifteen (15) days of the due date, a late charge of Fifty Dollars ($50.00) shall be applied to the outstanding balance due and owing, over and above the regular monthly service fee. Should payment not be made within thirty (30) days of the due date, all services shall be terminated. Should Customer desire to reconnect or resume service, there shall be a Two Hundred Fifty Dollar ($250.00) charge for re-connection of services which must be paid prior to the resumption of this agreement.

Billing & Payment

Provider will send all bills and other required notices by e-mail to the address associated with your account.

You authorize the Provider to automatically collect payments of any and all fees associated with your use of the Services from your designated payment method. Provider will email a bill to the e-mail address associated with your account. The bill will indicate the date, the amount you owe will be collected via your designated payment method.

Changes Cancellation & Termination

Customer may change or cancel the services at any time, but Customer will be required to return all of the equipment. If Customer does not return this equipment within thirty (30) days of cancellation, Customer will be required to pay a replacement fee in the amount of Three Hundred Fifty Dollars ($350.00).

When Customer changes Customer’s service by upgrading or downgrading Customer’s package, the fee will be prorated based upon the date of service changes.

If Customer requests cancellation of all of Customer’s services, Customer’s service will be available until the cancellation date selected. Once Customer’s service is disconnected, a credit for the remaining portion of the current billing cycle will be applied towards any remaining balance. Your Provider account will not be terminated until all billing obligations are resolved. If there is a credit balance at the time account termination, it will be refunded to the last used payment method in your Provider account.

The Provider reserves the right to terminate some or all of the services provided to Customer at any time, in Provider’s sole discretion without notice.

Best Effort Service Delivery

All LitFiber, LLC services listed above under Best Effort Service Offerings follow the model of best effort service delivery, which is how LitFiber, LLC services reach you, the customer. Best effort service delivery is limited by the following:

LitFiber, LLC does not guarantee that data delivered through our Internet services will reach its destination, nor do we provide Quality of Service (QoS) controls to ensure delivery. If guaranteed delivery is desired, the customer must obtain its own guaranteed delivery vehicles (such as TCP/IP).

LitFiber, LLC does not provide a guarantee of uptime or availability of service, nor any guarantee of financial restitution or other remedy for a disruption of service.

LitFiber, LLC data packages are sold and advertised as the best possible maximum bandwidth. LitFiber, LLC will make a best effort attempt to provide data bandwidth up to the data packages’ maximum throughput; however this speed is not guaranteed. Technical considerations may limit the available bandwidth, including, but not limited to:

  • Distance from LitFiber, LLC’s Central Office
  • Local network saturation
  • Faulty or sub-standard customer premises wiring or equipment
  • Factors outside of LitFiber, LLC’s control (including, but not limited to, upstream providers, available bandwidth, etc.)

LitFiber, LLC does not actively monitor the status of a customer’s connection. It is the customer’s responsibility to report trouble with services to LitFiber, LLC.

Best Effort Restoration of Services

All LitFiber, LLC services listed above under Best Effort Service Offerings follow the model of best effort restoration of service. In the event of a service disruption, it is the customer’s responsibility to contact LitFiber, LLC to report the problem. As LitFiber, LLC does not actively monitor the status of a customer’s connection, we may not be aware that a problem exists. Once informed, LitFiber, LLC will make a best effort attempt to restore service. Best effort restoration of service consists of:

LitFiber, LLC will make a best effort attempt to restore service as quickly as is feasible. LitFiber, LLC does not guarantee a specific restoration time-frame.

LitFiber, LLC is responsible for service delivery to our point of demarcation only. Demarcation points are typically external enclosures located outside the customer’s home or building (such as the Network Interface Device and/or Optical Network Termination).

LitFiber, LLC will respond to customer premises trouble (trouble affecting a single customer) during normal business hours (Monday through Friday, 8:00am to 4:00pm) only. LitFiber, LLC does not offer after-hours repair service for residential or business customers.

Elective repairs of customer-owned wiring or equipment will be billable to the customer and scheduled at the sole discretion of LitFiber, LLC management. LitFiber, LLC may determine in its sole discretion whether repairs are necessary or elective.

Repairs will be conducted in accordance with the standards practiced by LitFiber, LLC and the
telecommunications industry. LitFiber, LLC does not provide a guarantee that work performed will meet customer expectations.

The above statements do not apply to business accounts with a Service Level Agreement (SLA).

Our Warranties & Disclaimers

We provide the services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that Provider does not promise about the service.

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR IN A SEPARATE AGREEMENT PROVIDED TO CUSTOMER BY PROVIDER OR AN AGENT THEREOF, NEITHER PROVIDER NOR IT SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES, INCLUDING ANY EQUIPMENT PROVIDED TO YOU BY PROVIDER, ITS DISTRIBUTORS OR SUPPLIERS. FOR EXAMPLE, PROVIDER DOES NOT MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTION OF THE EQUIPMENT OR SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES AND EQUIPMENT “AS IS.”

SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.

Liability For Our Services

PROVIDER’S LIABILITY, IF ANY, IS EXPRESSLY LIMITED TO AN AMOUNT EQUAL TO THE AMOUNT CUSTOMER PAID TO USE THE SERVICES (OR, IF PROVIDER CHOOSE, TO SUPPLYING CUSTOMER THE SERVICES AGAIN).

IN ALL CASES, PROVIDER, AND ITS SUPPLIERS AND DISTRIBUTORS, WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

WHEN PERMITTED BY LAW, PROVIDER AND PROVIDER’S SUPPLIERS AND DISTRIBUTORS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

Venue

This terms of service and agreement shall be construed under the law of the State of Kentucky, and the parties specifically choose the Kentucky State Court of the Customer’s residence as the exclusive venue to adjudicate the rights and obligations of the parties herein. Both parties expressly waive the right to a trial by jury.

Miscellaneous Provisions

The provisions of this residential terms of service and agreement shall be deemed to be severable, and in the event any provision or provisions are deemed to be void, invalid, or unenforceable, then the remainder of this residential terms of service and agreement shall be unaffected by such determination and shall continue to be in full force and effect.

This residential terms of service and agreement shall be binding upon and shall insure to the benefit of the PROVIDER and the CUSTOMER, their respective heirs, and legal representatives.

This residential terms of service and agreement is not transferable, and shall not be assigned, sold, bargained, or transferred, and no other writings, documents, or oral statement shall be used to annul, construe, contradict, define, explain, or interpret the covenants, conditions, and recitals as herein set forth. This document represents the complete, integrated intent of the parties.

This residential terms of service and agreement supersedes and replaces any prior agreement between the parties hereto.

This residential terms of service and agreement is binding upon the parties’ heirs, assigns, successors, administrators, executors, and trustees.

The Parties hereto expressly understand and agree that TIME IS OF THE ESSENCE to perform under this residential terms of service and agreement.
